XDscreening is a screening and decision-support tool — not legal advice or a compliance determination. Screening results are informational only; you remain solely responsible for your own export-control and sanctions compliance decisions.

1. Acceptance of Terms

These Terms of Service (the “Terms”) govern your access to and use of XDscreening (the “Service”). By creating an account or using the Service, you agree to these Terms on behalf of yourself and any organization you represent, and you confirm you have authority to bind that organization. If you do not agree, do not use the Service.

2. Description of the Service

XDscreening is a denied-party and sanctions screening platform for trade compliance. It compares the individuals and entities you submit against publicly available government watchlists using fuzzy name-matching, and provides watchlist monitoring, embargoed-country checks, match review and resolution, and an audit trail.

Screening results are informational and probabilistic. A match, a partial match, or the absence of a match does not by itself constitute a compliance decision, and confidence scores are an aid to review rather than a determination of fact.

3. Accounts & Access

Access is organized by organization (tenant). You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your organization’s account. Administrators manage members and assign role-based permissions — Admin, Reviewer, Approver, and Viewer — which determine who can screen parties, resolve matches, approve escalations, and view records.

4. Acceptable Use

You agree to use the Service lawfully and in good faith. In particular, you will not:

  • Use the Service to violate any applicable export-control, sanctions, or data-protection law;
  • Submit data you do not have the right to process or screen;
  • Attempt to reverse engineer, scrape, or resell the matching engine, list data, or any part of the Service;
  • Probe, interfere with, or attempt to circumvent the security or integrity of the Service.

5. Subscriptions & Billing

Paid plans are billed monthly in advance through our third-party payment processor; we do not store your full payment-card details. You may upgrade, downgrade, or cancel at any time, and changes take effect from your next billing cycle. Fees are non-refundable except where required by law, and we may change pricing or plan features with reasonable prior notice.

6. Compliance Responsibility

The Service supports, but does not replace, your compliance program. You are solely responsible for interpreting screening results, conducting any further due diligence, and making and documenting final compliance decisions. We do not warrant that the underlying government watchlists are complete, current, or free of error.

7. Intellectual Property

The Service — including its software, interface, design, and matching logic — is owned by XDscreening and its licensors and is protected by intellectual-property laws. You retain ownership of the party data you submit and the screening records you generate, and you grant us a limited license to process them solely to provide and improve the Service.

8. Termination

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate access for material breach of these Terms or for unlawful use. On termination, your records remain available consistent with your active plan and the retention practices described in our Privacy Policy.

9. Disclaimers & Limitation of Liability

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied. To the maximum extent permitted by law, XDscreening is not liable for indirect, incidental, special, or consequential damages, and our aggregate liability arising out of or relating to the Service is limited to the fees you paid in the twelve months preceding the event giving rise to the claim.

10. Governing Law & Changes

These Terms are governed by the laws of the jurisdiction in which XDscreening is established, without regard to its conflict-of-law rules. We may update these Terms from time to time; we will communicate material changes, and your continued use of the Service after they take effect constitutes acceptance.
